JSA, AZB orchestrate $375 million Harman-Wipro digital solutions deal
JSA advised Harman International Industries Inc., a Samsung company, while AZB & Partners represented Wipro Limited on the strategic acquisition of Harman’s Digital Transformation Solutions (DTS) business for approximately $375 million (INR 3,125 crore).
Wipro will acquire a full 100 percent stake in Harman Connected Services—including DTS Inc. and its subsidiaries—from Samsung’s Harman International. The transaction covers key assets, client contracts, and approximately 5,600 global employees (primarily India-based, but spanning Americas, Europe, and Asia), who will join Wipro’s Engineering Global Business Line.
Upon closing, DTS will be integrated into Wipro’s Engineering Global Business Line, joining Wipro’s AI, consulting, and specialist delivery model. Wipro will also enter a multi-year strategic agreement with Harman and Samsung, consolidating its role as a transformation partner for key vertical clients
JSA worked closely with global counsel Baker McKenzie to handle all India-related aspects of the deal, with a transaction team led by partner Rupinder Malik, supported by partner Harshit Anand and senior associate Kranthi Mamidanna.
AZB’s transaction team was led by senior partners Srinath Dasari and Bhuvana Veeraragavan, along with senior associate Mridula Sriram and associates Niranjan Kumar and Amirthamayee Chandra Shekar. The team also included partner Aditya Singh Chandel and senior associates Suhail Bansal and Sarvagya Bilgaiyan on tax matters, while senior partner Bharat V Budholia, senior associate Varun Thakur and associate Khushi Agarwal handled competition law aspects.
Baker McKenzie advised Harman, fielding a cross-disciplinary team led by Leif King, Aarthi Belani and Darcy Down.
Hughes Hubbard & Reed advised Wipro. Key partners included Charles Samuelson, Alan Kravitz, Anders Seah, and Donald Casey.
