A Power of Attorney (POA) is one of the most powerful legal documents you can sign — it gives another person the authority to act on your behalf in legal, financial, and property matters. While immensely useful (especially for NRIs, senior citizens, and business owners), a POA in the wrong hands can lead to serious fraud. This guide explains the types, the drafting and registration process, and the essential precautions you must take.

What is a Power of Attorney?

A Power of Attorney is a legal instrument under the Powers of Attorney Act, 1882, where one person (the principal or donor) authorizes another person (the agent or attorney-holder) to act on their behalf. The authority can be broad (managing all affairs) or narrow (selling one specific property). The POA creates a fiduciary relationship — the agent is legally bound to act in the principal's best interests.

General Power of Attorney (GPA)

A General Power of Attorney gives the agent broad authority to handle all or most of the principal's affairs. This may include: managing bank accounts, filing tax returns, entering contracts, handling property transactions, representing the principal before government authorities, and managing day-to-day business operations. A GPA is typically used when the principal is: living abroad (NRIs), elderly and unable to manage affairs personally, frequently traveling, or running a business that requires delegation of authority. Warning: A GPA gives enormous power — trust is essential.

Special Power of Attorney (SPA)

A Special Power of Attorney limits the agent's authority to a specific task or transaction. For example: selling a particular property, representing you in a specific court case, registering a document with the Sub-Registrar, or handling a single bank transaction. The SPA automatically terminates when the specified task is completed. SPAs are far safer than GPAs because the agent's authority is clearly defined and limited.

Registration and Stamp Duty Requirements

In West Bengal, a POA must be executed on stamp paper of appropriate value (₹100–₹500 for most POAs). If the POA authorizes the sale of immovable property, it must be compulsorily registered with the Sub-Registrar of Assurances under Section 17 of the Registration Act, 1908. Registration involves: the principal appearing before the Sub-Registrar with two witnesses, signing the POA in the Sub-Registrar's presence, providing identity and address proof, and paying the registration fee (typically 1% of the property value or a nominal fixed fee depending on the POA type). An unregistered POA for property sale is not valid in law.

Revocable vs Irrevocable POA

Most POAs are revocable — the principal can cancel them at any time by executing a Revocation Deed and notifying the agent. However, a POA coupled with an interest (i.e., the agent has a personal stake in the subject matter) is irrevocable. For example: if A gives B a POA to sell A's property, and B has already paid A the full sale consideration, the POA is irrevocable because B has acquired an interest. Irrevocable POAs cannot be unilaterally cancelled by the principal.

Special Considerations for NRIs

NRIs frequently use POAs to manage their Indian property and financial affairs. An NRI's POA must be: executed on Indian stamp paper (or equivalent stamping), notarized by a notary public in the country of residence, and apostilled or attested by the Indian Embassy/Consulate in that country. Many Indian banks and government offices will only accept NRI POAs that are properly notarized and consularized. The process takes 2–4 weeks.

POA Fraud Warning

POA fraud is rampant in India. Common scams: agents using a GPA to sell the principal's property without their knowledge, agents taking loans against the principal's property, and agents signing blank documents. To protect yourself: always use an SPA for property transactions (not a GPA), specify an expiry date, register the POA, and periodically check with the Sub-Registrar's office that no unauthorized transactions have occurred using your POA.
